1. Introduction

These E-Signature Terms of Service (the “E-Signature Terms”) constitute a binding legal agreement between you (“you” or “User”) and Seed Labs and and its affiliates at its sole discretion (“Seed Labs,” “we,” “our,” or “us”) governing your use of electronic signatures and electronic records in connection with your access to and use of our services (the “Services”). These E-Signature Terms supplement and form an integral part of our General Terms of Service (“General Terms”). Any capitalized term not defined herein has the meaning assigned to it in the General Terms or, as applicable, in any other terms incorporated by reference therein.

Seed Labs may provide the Services through various means, including the Internet, email, text message, and/or software applications. You acknowledge and agree that we may deliver certain Records (as defined below) electronically and obtain your electronic signature as required. While you may decline or later withdraw consent as provided herein, you understand that withdrawal of consent may result in limitation or termination of your access to the Services. We recommend that you print or save a copy of these E-Signature Terms for your records.

2. Consent to Receive Electronic Records

You expressly consent to receive and/or obtain all “Records” in electronic form from Seed Labs. “Records” include, without limitation, any and all notices, disclosures, statements, communications, agreements, data, or other documentation that applicable federal or state law requires us to provide to you, as well as any other documents relating to your use of the Services or your relationship with Seed Labs.

Except as required by applicable law, Seed Labs retains sole discretion to determine which Records are provided electronically and when your electronic signature will be requested. To the fullest extent permitted by law, you agree that Records provided electronically constitute valid, effective, and enforceable notice or delivery, and satisfy any legal requirement that such communications be “in writing” or capable of retention by you.

3. Scope of Consent

By accepting these E-Signature Terms, you confirm that you have the ability to print or download and retain electronic Records for your files. You consent to receive, review, and electronically execute Records presented to you through any of the Services.

Electronic Records may be delivered to your designated email address or other contact information you have provided, whether displayed within the email body, attached to the message, or accessible through embedded links. Your electronic signature may be manifested by, among other methods, clicking a confirmation button, selecting a checkbox, typing your name in a signature field, responding affirmatively to an electronic communication, or performing any other action identified as signifying acceptance.

Your consent to transact electronically remains in effect until withdrawn in accordance with Section 4 of these E-Signature Terms.

4. Withdrawal of Consent

You may withdraw your consent to receive electronic Records at any time by contacting team@seedlabs.com. Upon withdrawal of consent, Seed Labs reserves the right to restrict, suspend, or terminate your access to the Services or your account, as continued electronic consent may be necessary to use the Services.

5. Paper Copies of Records

You may request that Seed Labs provide paper copies of any Record by contacting team@seedlabs.com. Seed Labs reserves the right to charge a reasonable fee for the preparation and mailing of paper Records, except where otherwise prohibited by law.

6. Maintaining Current Contact Information

You are responsible for maintaining valid and current contact information suitable for receiving electronic Records. You agree to promptly update Seed Labs regarding any changes to your contact details. Failure to maintain accurate information or otherwise access delivered Records not caused by Seed Labs will not affect the validity of any Record transmitted to your last known contact information.

You may update your contact information through your online account. Seed Labs may notify you through such contact information when new or updated Records are available electronically.

7. Hardware and Software Requirements

To access and retain electronic Records, you must have: (a) a functioning device with a supported and up-to-date operating system; (b) a current web browser released within the past three (3) years or otherwise actively supported by its developer; and (c) reliable Internet access.

You are solely responsible for maintaining and operating your equipment, browser, and software, including implementing appropriate security measures. Seed Labs is not liable for any failure or delay in accessing electronic Records arising from hardware, software, or network malfunctions, viruses, or related technical issues.

8. Entire Agreement

These E-Signature Terms, together with the General Terms and any other applicable policies, constitute the complete and exclusive statement of the agreement regarding electronic records and signatures between you and Seed Labs.
